Terms of service

1. Order acceptance: Any terms contained in Buyer’s Order, which add to, change, or conflict with the
terms of a quote and/or these stated conditions are hereby objected to. Any such proposed terms shall be void
and the terms contained in or attached to this sales order confirmation shall constitute the complete and exclusive
statement of the terms and conditions of the purchase agreement between buyer and seller and may be modified only in writing or by mutual agreement.

2. Cancellations: Orders are accepted with the understanding that they are not subject to cancellation once a sales order confirmation has been issued. Any order entered on the basis of this agreement shall be subject to changes, specifications, or cancellations by Buyer only with Seller’s written consent and at a charge, which Seller shall determine sufficient to indemnify it against loss.

3. Delivery: Time of shipment promised is approximate and is not guaranteed. Seller will make every effort to meet requested deliveries, but Seller shall not be responsible for damages of any kind due to a delay in shipment or delivery.

4. Payment: NewLook accepts cash, check or major credit cards for payment (VISA, MasterCard, Discover & American Express). As a condition of NewLook International, Inc. extending credit terms to the buyer, Buyer agrees to make all payments on time. Unless agreed otherwise in writing, the terms are NET 30 DAYS. The buyer agrees that any and all payments that are not made in full on or before the 30th day after shipment shall be subject to a late fee of 1.5% per month and legal fees for collection. Daily late fee is based on an annual percentage rate of 18%.

5. Freight: All shipments shall be F.O.B. Shipping Point, sent using the Buyer’s shipping account, with a $1.25 handling & packaging charge per box added to the invoice; or C.O.D. and shipping charges being paid in advance by NewLook shall be added to the invoice. Any claims for loss or damage should be made promptly to the carrier at the time and place of delivery. Unless otherwise instructed in writing, Seller is authorized, as Buyer’s agent and at Buyer’s risk, to determine means of transportation and to choose the carrier.
